FREQUENTLY ASKED QUESTIONS

What is a Florida Annual Report?

In Florida, most corporations, limited liability companies (LLCs), and other business entities must file an Annual Report each year with the Florida Department of State. The Annual Report is not a financial statement. It is an information update that confirms your company’s legal name, principal address, registered agent, and officers or managers. Failing to file by the statutory deadline can result in substantial late fees and, if ignored, administrative dissolution of your company.

You can always file your Annual Report directly with the Florida Department of State on your own. Our service is an optional way to get guided help, reminders, and compliance support.

About your Annual Report:

An annual report must be filed each year for your business entity to maintain an “active status” with the Department of State.

It updates or confirms your records with the Florida Department of State, Division of Corporations, displaying your business’s most current data on file.

It is required, whether you need to make changes.

It is not a financial statement.

If a business files late, a $400 late fee will be imposed on you by The State.

If you do not file an annual report by the third Friday of September, your business entity will be administratively dissolved or revoked at the close of business on the fourth Friday of September. (Chapters 607, 617 and 620, F.S.) Businesses may incur additional reinstatement fees.

Who Should Use This Service?

Our Annual Report Renewal service is designed for:

• Florida small business owners who want a simple, guided renewal process.

• Owners who prefer bilingual (English/Spanish) support and clear explanations before they submit anything.

• Busy entrepreneurs who want reminders, confirmation, and help staying ahead of deadlines.

• Business owners who value having renewals, registered agent, and required labor posters bundled together.

What’s Included in Our Annual Report Renewal Service

Depending on the options you select, our Annual Report Renewal service may include:

• Annual Report preparation and electronic filing with the Florida Department of State.

• Verification of your company information (name, principal address, mailing address, officers/managers, and registered agent).

• Optional registered agent service, if selected.

• Optional compliance package with required federal and state labor-law posters, if selected.

• Email confirmation once the filing is submitted and accepted, including your official filing information.

• Calendar reminders and basic compliance education so you understand future filing obligations.

• Bilingual (English/Spanish) support by email or phone during the process.

How the Process Works

Renewing through Florida Business Renewal Center is straight forward:

1. Look up your company. You provide your business name or document number so we can find your Florida record and confirm that an Annual Report is due.

2. Review your information and choose your options. You review the legal name, addresses, officers/managers, and registered agent details. If something needs to be updated, you let us know through the form. You then select any optional services (such as registered agent or compliance posters) and review the breakdown of government fees and our service fees.

3. We file and send you confirmation. We transmit the Annual Report electronically to the Florida Department of State and monitor for acceptance. Once accepted, we email you confirmation and any relevant documents. If there is an issue or rejection, we work with you to correct it.

Fees and Disclosures

When you use our Annual Report Renewal service, you pay two types of amounts:

• The official government filing fee required by the Florida Department of State; and

• Our not-for-profit service fee for education, bilingual support, processing, and any optional compliance materials such as registered agent service and labor-law posters.

All amounts are clearly disclosed before you submit payment. You will see a line for the government filing fee and a line for our service fee. If you prefer, you can choose not to use our service and complete the Annual Report directly on the Florida Department of State’s official website, often at a lower overall cost.

Florida Business Renewal Center does not guarantee that using our service will lower your government fees or eliminate penalties that already exist. Our role is to help you understand your obligations, submit your Annual Report correctly based on the information you provide, and provide compliance tools and reminders.

About Labor Law Poster

Federal Law 29 USC Sec. 666 (I) & 29 Sec. 2005 states that an up-to-date compliant Labor Law Poster must be posted in a visible location on the property of business which has at least 1 employee.

If you have employees, certain notices may need to be displayed. Requirements vary by employer and agency. We offer an updated poster kit option for convenience.

Are you the State of Florida or affiliated with the State?

No. Florida Business Renewal Center is not a government agency and is not affiliated with the Florida Department of State or any other government authority. We are a fictitious name of Small Business Education, Inc., a Florida not-for-profit organization that provides educational and filing support services to business owners.

Can I file my Annual Report myself directly with the State?

Yes. You are always free to file your Annual Report directly with the Florida Department of State using the official state website. We make this clear because our service is optional. Business owners who choose us typically want guided help, bilingual support, compliance posters, and reminders in one place.

What happens if I miss the Annual Report deadline?

The State of Florida charges significant late fees for Annual Reports filed after the deadline. Continued failure to file can result in administrative dissolution of your entity, which could cause you to lose your company’s active status. While we cannot remove penalties that have already been assessed by the State, our service is designed to help you avoid missing future deadlines by providing reminders and support.

Do you provide legal or tax advice with this service?

No. We do not provide legal or tax advice. Our role is administrative and educational: we help you understand the Annual Report requirements, collect your information, and transmit filings. You are responsible for the accuracy of the information you provide. For legal or tax questions, you should consult an attorney or tax professional.

Can you help me in Spanish?

Yes. Many of the business owners we serve are more comfortable in Spanish. Our team can communicate with you in English or Spanish to help you understand the Annual Report process before you submit anything.

What is your refund policy?

If we have not yet submitted your filing, we may be able to cancel and refund our service fee. Once we’ve submitted your Annual Report to the State, the state fee is non-refundable and our service is considered complete.

What if I already filed my 2026 Annual Report?

If you already filed this year, you do not need our filing service. Please double-check your status on Sunbiz. If there’s any doubt, contact us before placing an order.

What happens if something is wrong with my company information?

If we detect missing or inconsistent information, we contact you before filing. Our goal is to help you file correctly the first time.

When will my 2026 Annual Report actually be filed?

We begin processing your filing as soon as we receive your information and payment. We submit your report electronically through Sunbiz and email you confirmation once the state accepts it.
